Terms of Service

Last updated: May 23, 2026

Welcome to Veerlyn. These Terms of Service (the "Terms") govern access to and use of the service by any person or entity (the "User") who registers, creates an account, or otherwise uses the Veerlyn platform.

By checking the "I accept the Terms of Service" box during signup, or by using the service in any way, the User acknowledges that they have read, understood and accepted these Terms in their entirety, as well as the Privacy Policy which forms an integral part of them.

1. Purpose

Veerlyn is a software-as-a-service (SaaS) platform for property managers, owners, and rental management professionals. It enables, among other things, the management of building portfolios, leases, tenants, payments, suppliers, communications and related documents.

These Terms set out the contractual relationship between Veerlyn Inc. ("Veerlyn", "we", "our") and the User.

2. Definitions

"Service" means the Veerlyn platform accessible online, including all features, interfaces, APIs and associated services.

"Account" means the personal or organisational account created by the User to access the Service.

"User Content" means all data, files, information and documents uploaded to or entered into the Service by the User.

"Subscription" means the pricing plan subscribed to by the User, granting access to the Service under defined terms and limits.

3. Registration and account

Registration for the Service is reserved for persons of legal age and lawfully constituted entities. The User undertakes to provide accurate, complete and up-to-date information when creating the account, and to keep that information current.

The User is solely responsible for the confidentiality of their login credentials (password, PIN, etc.) and for any activity carried out from their account. Any unauthorised use must be reported to Veerlyn without delay.

4. Service description

Veerlyn provides the User with software tools accessible through a web browser. Available features depend on the subscribed plan (Starter, Pro, Enterprise) and may evolve over time.

Veerlyn reserves the right, at any time, to modify, suspend or discontinue all or part of the Service, using reasonable efforts to notify the User in advance when possible.

5. Subscription, free trial and billing

Access to the Service is subject to a paid subscription, except during any free trial period offered. The duration and conditions of the trial are specified at the time of registration.

Prices are shown excluding applicable taxes (GST, QST). Payments are processed by our payment provider (Paddle), which acts as Merchant of Record and is responsible for collecting applicable taxes.

Unless otherwise indicated, subscriptions automatically renew at the end of each billing period. The User may cancel renewal at any time from the Service interface or by contacting support.

6. Cancellation and termination

The User may cancel their subscription at any time from their account. Cancellation takes effect at the end of the current billing period; no pro-rated refund is granted for periods already begun, unless required by mandatory law.

Veerlyn may suspend or terminate the User's account, without notice, in the event of a material breach of these Terms, fraudulent use, non-payment, or any serious reason affecting the security or integrity of the Service.

7. Acceptable use

The User undertakes to use the Service in accordance with applicable laws and regulations, and shall not: (a) upload or transmit unlawful or defamatory content, or content infringing on the rights of a third party; (b) attempt to access accounts or data not belonging to them; (c) introduce viruses, malware or code intended to disrupt the Service; (d) use the Service for resale or aggregation purposes without prior written authorisation; (e) reverse-engineer or attempt to extract the source code.

Failure to comply with these rules may result in the immediate suspension or termination of the account.

8. User Content and data

The User retains all rights to the User Content they upload or enter into the Service. They grant Veerlyn a limited, non-exclusive and revocable licence, strictly necessary for providing the Service.

Veerlyn undertakes to implement reasonable technical and organisational measures to ensure the security and confidentiality of data. The processing of personal data is governed by the Privacy Policy.

The User is solely responsible for the accuracy, lawfulness and back-up of their User Content, and in particular for complying with the obligations applicable to the collection and processing of their tenants' data.

9. Intellectual property

The Service, its source code, brand, logos, interface and all of its content (excluding User Content) are the exclusive property of Veerlyn or its licensors. Nothing in these Terms shall be construed as a transfer of those rights to the User.

The subscription grants the User a personal, non-exclusive and non-transferable right to use the Service, for the duration of the subscription and within the limits of the subscribed plan.

10. Availability and maintenance

Veerlyn uses reasonable efforts to ensure the continuous availability of the Service, but does not guarantee uninterrupted availability. Maintenance, updates or technical interventions may cause temporary interruptions, which will be announced where possible.

11. Limitation of liability

To the maximum extent permitted by applicable law, Veerlyn shall not be liable for any indirect, incidental or consequential damages (loss of profits, loss of data, loss of business opportunities) arising out of the use or inability to use the Service.

Veerlyn's total liability, for all heads of damage combined, is in any event limited to the amount actually paid by the User over the twelve (12) months preceding the event giving rise to the claim.

12. Changes to the Terms

Veerlyn reserves the right to modify these Terms at any time. Material changes will be notified to the User, by email or through the Service, at least thirty (30) days before they come into effect.

Continued use of the Service after the effective date of the new Terms shall constitute acceptance thereof. Failing acceptance, the User may cancel their subscription under the conditions set out in section 6.

13. Governing law and jurisdiction

These Terms are governed by the laws in force in the Province of Quebec (Canada). Any dispute relating to their interpretation or performance shall be subject to the exclusive jurisdiction of the courts of the judicial district of Montréal, subject to mandatory consumer-protection provisions.
